These Terms and Conditions (“Terms”) constitute a legally binding agreement between TingBuilder (Pvt) Ltd (“Company”, “we”, “us”, “our”) and any individual or entity accessing or using our website, software, applications, systems, or related services (collectively, the “Services”).

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must immediately discontinue use of the Services.

1. DEFINITIONS

For the purposes of these Terms:

  • “Services” means all software development, web applications, mobile applications, ERP systems, AI solutions, and related services provided by the Company.
  • “User” means any individual or entity accessing the Services.
  • “Client” means any User engaging the Company for professional services.
  • “Agreement” means these Terms and any related written or implied service agreement.

2. ELIGIBILITY

You represent and warrant that you are legally capable of entering into binding agreements. Where acting on behalf of an entity, you confirm that you are duly authorized to bind that entity.

3. SERVICES DESCRIPTION

The Company provides custom digital solutions including but not limited to:

  • Software development
  • Web applications
  • Mobile applications
  • ERP systems
  • AI-powered systems
  • IT consulting and related services

The specific scope, deliverables, timelines, and pricing shall be defined in separate proposals, contracts, or statements of work.

4. CLIENT RESPONSIBILITIES

Clients shall:

  • Provide accurate, complete, and timely requirements
  • Supply necessary materials, content, and access
  • Respond to approvals and feedback without undue delay
  • Ensure legality of all content and instructions provided

Delays caused by the Client may impact delivery timelines.

5. FEES AND PAYMENTS

  • Fees shall be agreed in writing prior to commencement of work.
  • Unless otherwise agreed, payments are non-refundable once work has started.
  • The Company reserves the right to suspend or terminate Services for non-payment or delayed payment.

6. INTELLECTUAL PROPERTY RIGHTS

Unless otherwise agreed in writing:

  • The Company retains ownership of pre-existing intellectual property, frameworks, and tools.
  • Upon full payment, custom deliverables may be transferred to the Client.
  • The Company retains the right to reuse general knowledge, components, and non-client-specific code.

7. CONFIDENTIALITY

Both parties agree to maintain strict confidentiality regarding all non-public business, technical, and financial information disclosed during the course of engagement.

8. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

  • The Company shall not be liable for any indirect, incidental, or consequential damages.
  • The Company’s total liability shall not exceed the amount paid by the Client for the relevant service.

9. NO WARRANTY

All Services are provided on an “as is” and “as available” basis without warranties of any kind, including but not limited to fitness for a particular purpose, merchantability, or uninterrupted operation.

10. TERMINATION

The Company reserves the right to suspend or terminate access to Services at its sole discretion, including but not limited to:

  • Breach of these Terms
  • Misuse of Services
  • Non-payment
  • Illegal or harmful activity

11. THIRD-PARTY SERVICES

The Services may integrate or depend on third-party tools or platforms. The Company shall not be responsible for any third-party services, content, or policies.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless the Company from any claims, damages, liabilities, or expenses arising from:

  • Your use of the Services
  • Your breach of these Terms
  • Any content or materials provided by you

13. AMENDMENTS

The Company reserves the right to update or modify these Terms at any time. Updates will be effective upon publication on the website. Continued use of the Services constitutes acceptance of the revised Terms.

14. GOVERNING LAW

These Terms shall be governed and construed in accordance with the laws of Sri Lanka, without regard to conflict of law principles.
